ZIO TECH LIMITED provides custom IT solutions, web development, and technical consulting. All projects are governed by separate, detailed Service Level Agreements (SLAs) or Statements of Work (SOW) signed by both parties, which override these general terms in the event of a conflict.

2. Intellectual Property

Unless otherwise agreed upon in a specific client contract:

• All pre-existing materials, templates, and proprietary tools used by ZIO TECH LIMITED remain our intellectual property.
• Final deliverables, custom code, and assets created specifically for a client will transfer to the client upon full payment of all outstanding invoices.

3. Client Responsibilities

Clients must provide timely, accurate information, assets, and access credentials necessary for us to complete the agreed-upon IT solutions. Delays in providing required materials may result in project timeline adjustments.

4. Limitation of Liability

To the maximum extent permitted by law, ZIO TECH LIMITED shall not be liable for any indirect, incidental, or consequential damages (including loss of data, profits, or business interruption) arising out of the use or inability to use our services or website.

5. Governing Law

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law principles.
